LMA23 General Counsel and Executive Panel Speaker Agreement

I hereby agree to contribute to and deliver the following presentation:

LMA offers the following as a thank you to our general counsel and executive panelists:

Registration:
One (1) Complimentary Full Conference Registration

Travel Stipend:
Up to $500 for coach airfare and up to $100 for reasonable and customary travel expenses (i.e. ground transportation, checked bag, etc.). Reimbursement requests must be returned within 30 days of the conference and will be processed after the event.

Speaker will make all necessary travel arrangements and agrees to arrive by Tuesday, April 25 (early afternoon) and depart any time after the general session on Wednesday, April 26. Speaker will provide LMA flight information for records no later than Friday, March 10. LMA understands flights may need to be revised based on subsequent commitments.

Housing:
LMA agrees to cover a 1-night stay (room + tax) at the host hotel on Tuesday, April 25. Additional room nights or special room requests may be at the cost of the speaker.
 

I hereby agree to the following terms and conditions when presenting my educational presentation (“Presentation”) at the 2023 LMA Annual Conference:

  1. I will contribute to the Presentation in handout, PowerPoint or other digital format as required by LMA (exceptions may apply for general sessions as delivery dictates). In addition, I agree to participate in content development and prep calls with LMA and/or members of the Annual Conference Advisory Committee (ACAC).
     
  2. I hereby grant LMA a non-exclusive, unrestricted, irrevocable license to broadcast, record, and/or livestream the Presentation (including, without limitation, any materials presented), to prepare a transcript of the Presentation, to edit the Presentation, and to reprint or otherwise reproduce, in written, video, audio or electronic format, the Presentation and/or any recording or transcript of the Presentation for the purpose of publishing and distributing, by sale or otherwise, the Presentation, individually or as part of a compilation, to third-party distributors, media outlets, and other interested parties, for the benefit of LMA. Such license includes the irrevocable right to use my name, likeness, voice and biographical information in connection with the Presentation. If the Presentation and/or Presentation materials are published, LMA will own all rights in and to the Program proceedings and any like compilations and any recordings of the Presentation made by LMA or its designees, but will have no other ownership rights in the Presentation. Other than any consideration listed above, along with the acknowledgement I will receive from LMA and others for my participation, I understand and agree that LMA will owe me no royalty or other compensation for my contribution to the Presentation or the rights granted herein.
     
  3. I hereby represent that, to the best of my knowledge, (a) my contributions to the Presentation will be accurate and will not violate any copyright, proprietary rights or personal rights of others including rights of privacy and publicity; (b) any materials, including photographs, I provide for the Presentation do not identify, by name or otherwise, suggest the identity of, or present a recognizable likeness of any individual or individuals; or, if they do, I have obtained all necessary consents from such individual(s) for the further use, distribution and publication of such materials; and (c) my contributions to the Presentation will be educational in nature, will not promote any product or service, and will not contain any false or misleading statements regarding any products or services or include statements or materials that are anticompetitive, slanderous, libelous or otherwise illegal, offensive or inappropriate.
     
  4. Neither I nor any person or organization with which I have a personal or business relationship is engaged in any transaction or activity that may represent a conflict of interest with the subject of the Presentation.
     
  5. I understand and acknowledge that registration lists are considered confidential to LMA, and I will not receive a copy of attendee email addresses.
     
  6. I understand that LMA reserves the right to cancel my Presentation and/or the Program and has no obligation to broadcast, record, or otherwise distribute it. Likewise, LMA may change the length and/or format at its discretion. In the event of such cancellation or change, LMA will not be responsible for any damages I may incur.
     
  7. If, for any reason, I am unable to fulfill my obligation to make a Presentation at the Program, I will, upon LMA's request, provide a substitute speaker acceptable to LMA. In the event I am unable to make a presentation at the Program or a substitute speaker is not provided, I will return any deposits paid to me by LMA and I will be responsible for any out-of-pocket costs that LMA incurs as a result of the cancellation.
     
  8. Notwithstanding the foregoing, neither LMA nor I will be in default hereunder by reason of a delay in performing, or failure to perform, any obligation hereunder if such delay or failure is caused by occurrences or circumstances beyond our reasonable control, including, without limitation, strikes, acts of God, government orders, epidemics or pandemics, war, acts of terrorism, riots, or interference by civil or military authorities. If the Presentation and/or Program are capable of being rescheduled, I will work with LMA to find a mutually agreeable alternative date.
     
  9. I hereby indemnify and hold harmless LMA, its officers, directors, members, and staff from and against any and all claims, expenses (including reasonable attorneys’ fees), and liabilities whatsoever arising out of my breach of any of the representations set forth in this Agreement. I further waive any and all claims I may have against LMA, its directors, officers, members, and staff, and release and discharge them from any claim related to the Program or the manner in which it is conducted, except for any third-party claim arising from a change made by LMA that alters the meaning or accuracy of any statements I make, or information I provide, for the Presentation.
     
  10.  I will send my Presentation materials (if any) to LMA for its review by the requested deadline.
