To support its activities, the Legal Marketing Association (LMA) relies on the support of individuals who participate on its boards, committees, task forces, and other working groups at the international, regional and/or component level (each, a “Volunteer”). In consideration for the opportunity afforded me by LMA to serve as a Volunteer for the 2021 year, and for other good and valuable consideration, I hereby agree as follows:
1. All materials I create in my role as a Volunteer, including but not limited to articles, videos, slides, presentations, graphics, tables, charts, databases, artwork, logos, trademarks, designs, and layouts, in any form or media (collectively, “Works”), shall be deemed “works made for hire” (as defined by the federal Copyright Act, 17 U.S.C. Section 101 et seq.). To the extent that any Works are found not to be works made for hire, I hereby assign, without limitation, all copyrights, trademarks, and other proprietary rights and interests I may have in and to the Works to LMA. Thus, it is my express intent that LMA shall be the exclusive owner of all copyrights, trademarks, and other proprietary rights and interests in and to the Works, as LMA shall determine in its sole discretion.
I understand that (i) the Works may or may not be used by LMA; (ii) I have no control over the use of the Works; (iii) no royalties or other compensation will be due me for the use of the Works; and (iv) I may republish or otherwise use the Works only with the express prior written permission of LMA. In LMA’s discretion, I may be identified as a contributor to the Works. I represent that I am the original author of my contributions to the Works (or I have obtained written permission to have LMA republish a third-party contribution, which permission shall be provided with my contribution), and I agree to execute and deliver to LMA any further documents and to take all actions reasonably requested by LMA to establish their rights in the Works.
2. I understand that I may have access to or obtain certain “Confidential Information” so designated by LMA, and I shall not disclose, divulge, or make accessible such Confidential Information, except in communications among Volunteers on the same LMA international, regional, or component board, committee, task force, or other working group (LMA Group); in communications to the LMA Board of Directors; or as required by law. I shall return all Confidential Information, without keeping a copy of same, upon the request of LMA. Confidential Information that is otherwise publicly known or that is made publicly available through no fault of my own is not subject to the terms of this Agreement. My obligation to maintain the confidentiality of Confidential Information under this Agreement shall extend beyond the conclusion or termination of my appointment as a Volunteer.
3. As a Volunteer, I support and agree to be bound by the following standards of conduct designed to assure effective and ethical decision-making:

- I will prepare for and attend meetings of the LMA Group for which I serve as a Volunteer, submit all reports for which I am responsible in a timely manner, and study in advance of meetings all materials provided to If I am unable to fulfill my duties and obligations, I understand LMA reserves the right to find another volunteer to replace me.
- I will base my decisions on all facts available in each situation, taking into consideration the views of fellow Volunteers and other I will respect the right of each participant to express his or her opinion on a given topic.
- I will make decisions in the best interest of LMA and strive to keep personal bias and the views of special interests to a minimum.
- I will accept, support, and implement all LMA Group decisions, even those that I did not initially support or those that were made in my absence.
- I will not speak or act for LMA unless specifically authorized to do I will not express opinions about LMA business unless I clearly define those opinions as personal views that do not necessarily match the views of LMA, and those opinions do not denigrate LMA, its Volunteers, or other participants.
- I will abide by LMA’s policies and Code of Ethics regarding conflicts of interest. I will strive to avoid even the appearance of such conflicts.
- I will maintain my LMA membership during my year of volunteer leadership service.
4. We, the members of LMA, seek at all times to:

- Treat each other with respect
- Conduct ourselves accountable in a manner that is welcoming to all, free from harassment, discrimination, or microaggressions
- Create an inclusive environment, where members actively contribute thoughts and ideas while welcoming and valuing dissenting opinions or difference experience
5. We, The Legal Marketing Association, will:

- Create and ensure a collegial, inclusive, and professional environment
- Value our colleagues and respect our association’s diversity of age, race, religion, ethnicity, nationality, sexual orientation, gender identity and expression, body size, marital status, political affiliation, ability status, and educational backgrounds
- Value that members from organizations across a variety of sectors strengthen our professional impact
- Foster the development of a volunteer base and leadership body that reflects the characteristics of our membership. We will take every opportunity to ensure that committee members, presenters/speakers, and award winners are representational of the characteristics of LMA members and the organizations they represent.
- Make every reasonable accommodation to ensure equal access to participation from our membership
- Not tolerate suggestive, inappropriate, or intimidating behavior and language; unwelcome jokes or comments; unwanted touching or attention; stalking; harassing photography or recording; offensive or sexually oriented images; or aggressive physical behavior.
I have read this Volunteer Leader Agreement and agree to be bound by its terms. Any violation of this Volunteer Leader Agreement could result in removal from my volunteer leadership role(s).
